Moonshot AI, the Chinese startup behind the Kimi K3 model, is preparing for an IPO in the coming year. To gain approval from Chinese regulators, it must restructure, including converting its Chinese legal entity to a joint-stock company and addressing issues with foreign shareholders.
Moonshot AI, the Chinese AI startup that created the Kimi K3 model, is undergoing restructuring in preparation for an IPO next year. The company must demonstrate an orientation toward national investors to get approval from Chinese authorities. Initially, Moonshot had an overseas structure designed to attract foreign investment, which regulators are unlikely to favor, so it must be dismantled before the IPO. Last week, Moonshot changed its Chinese legal entity from a limited liability company to a joint-stock company, a move that facilitates stock operations but also imposes stricter requirements. Due to its AI capabilities, Moonshot is considered a holder of key technologies for national security, so an IPO outside China is not allowed. The company has already notified its foreign shareholders that it has not yet developed a clear mechanism to transfer their shares into Chinese jurisdiction. One option involves foreign investors creating structures in China to hold shares, but that is a long process. If regulators make an exception, foreign shareholders could retain direct ownership, accelerating the IPO preparation. Moonshot does not urgently need funds; two consecutive funding rounds valued the startup at $30 billion and then $50 billion, with government-affiliated funds participating. According to Bernstein analysts, Moonshot is one of those Chinese AI developers sacrificing short-term profits to attract more users, funding model training through investors rather than usage fees.
